Terms of Use

These Terms of Use ("Terms") govern access to the Northern Kentucky MLS data tool operated by The Caldwell Group at eXp Realty ("Caldwell Group," "we," "us"), provided through the NKMLS MCP connector and related interfaces (the "Service"). By redeeming an access code, activating a key, or using the Service, you ("you," "your") agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

The Service is offered only to individuals who are current, active members of the Northern Kentucky MLS (NKMLS) in good standing. You represent that you are an NKMLS member and that your access to NKMLS data is permitted under your own MLS membership. We may verify membership at any time and may suspend or revoke access if we cannot confirm it.

2. Your access

Access is personal to you, non-transferable, and non-exclusive. Your API key is like a password. You are responsible for keeping it confidential and for all activity under your key. You may not share, sell, sublicense, or transfer your key or your access to any other person or entity, including others within your brokerage.

Trial access, if granted, runs for the period stated when your access code is issued. When a trial ends, access continues in a limited "lite" lookup mode unless we end it. We may change, limit, or discontinue any tier or feature at any time.

You may use the Service for your own legitimate real estate activities as an NKMLS member, such as researching properties, running comparisons, and informing your work with clients. That is it.

5. MLS data ownership

All MLS data made available through the Service is owned by NKMLS and its participants and is provided subject to NKMLS rules and the applicable data license. Nothing in these Terms grants you any ownership of, or license to, that data beyond what your own NKMLS membership already permits. The Service is an interface. It does not expand your data rights.

6. Intellectual property

The Service, including its tools, workflows, interface, prompts, methods, and all related software and content, is the property of Caldwell Group and its licensors. These Terms do not grant you any license to it other than the limited right to use the Service as described here. All rights not expressly granted are reserved.

7. Monitoring and revocation

We log usage for security, audit, and abuse prevention. We may suspend or revoke your access at any time, with or without notice, for any reason, including suspected violation of these Terms, suspected data harvesting, or loss of NKMLS membership. Revocation is effective immediately.

8. No warranty

The Service and all data and output are provided "as is" and "as available," without warranties of any kind, express or implied. We do not warrant that the data is accurate, complete, current, or fit for any particular purpose. You are responsible for independently verifying any data before relying on it, including in any client-facing use.

9. Limitation of liability

To the fullest extent permitted by law, Caldwell Group will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business, arising out of or relating to your use of or inability to use the Service. Our total liability for any claim relating to the Service will not exceed one hundred dollars ($100).

10. Changes to these Terms

We may update these Terms from time to time. Continued use of the Service after an update means you accept the revised Terms.

11. Governing law

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in Kenton or Boone County, Kentucky.

By checking the box on the access request form and activating your key, you acknowledge that you have read, understood, and agree to these Terms. We record the date, time, and IP address of your acceptance.
